Terms of Use

These Terms of Use (“Terms”) govern your access to and use of Throughline (the “Service”), operated by Keystone Equities Inc (“Throughline,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for maintaining the security of your account credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

The Service

Throughline provides software tools for real estate professionals, including market analysis, valuation support, offer and document preparation, and client communication. The Service is a tool that assists your professional judgment. It does not provide legal, financial, appraisal, or brokerage advice, and it is not a substitute for your own professional review and compliance with applicable laws, regulations, and your brokerage’s policies.

Your responsibilities

• You are solely responsible for reviewing and verifying any analysis, valuation, document, or communication the Service generates before relying on it or sharing it with a client or third party.
• You will use the Service in compliance with all applicable laws and regulations, including real estate licensing, fair housing, advertising, consumer protection, and communications and recording-consent laws.
• You represent that you have the right to provide the data you submit, including information about clients and transaction parties, and to use the Service to contact them.
• You will not misuse the Service, attempt to gain unauthorized access, interfere with its operation, or use it to send unlawful, infringing, or harassing content.

AI-generated content

The Service uses artificial intelligence to generate analyses, drafts, and other content. AI output can be inaccurate or incomplete and may not reflect current market conditions, contract terms, or legal requirements. You must independently review and confirm any AI-generated content before using it. Throughline does not warrant the accuracy, completeness, or suitability of AI output for any particular purpose.

Third-party services

The Service integrates with third-party platforms you choose to connect, such as email, MLS, transaction-management, and communication providers. Your use of those platforms is governed by their own terms and policies. We are not responsible for the availability, accuracy, or practices of third-party services, and connecting them is at your discretion.

Fees and subscriptions

Paid plans are billed in advance on a recurring basis through our payment processor. Unless stated otherwise, fees are non-refundable except as required by law. We may change pricing on a going-forward basis with notice. You can cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

Intellectual property

The Service, including its software, design, and content we provide, is owned by Throughline and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of the data and content you submit, and you grant us the rights needed to operate the Service and provide its features to you.

Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any output will be accurate or reliable.

Limitation of liability

To the maximum extent permitted by law, Throughline and Keystone Equities Inc will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim.

Indemnification

You agree to indemnify and hold harmless Throughline and Keystone Equities Inc from any claims, damages, or expenses arising out of your use of the Service, your content, or your violation of these Terms or applicable law.

Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. On termination, your right to use the Service ends; provisions that by their nature should survive will survive.

Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the date above and, for material changes, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance.
